PURSUANT to section 6(3) of the Animal Control Products Limited Act 1991, Her Excellency the Governor-General, acting by and with the advice and consent of the Executive Council, hereby makes the following order.

1 Title
  • This order may be cited as the Animal Control Products Limited Vesting Order 1992.

2 Interpretation
  • (1) In this order,—

    Company means Animal Control Products Limited

    Council means the Agricultural Pests Destruction Council constituted under the Agricultural Pests Destruction Act 1967

    Poison factory business means the business operated by Animal Control Products at the poison factories in Wanganui and Waimate and consisting of the manufacture, sale, and other disposal of poison and poisoned baits.

    (2) Any term or expression that is not defined in this order, but that is defined in the Act, has the meaning given to it by the Act.

3 Vesting of property and liabilities of Agricultural Pests Destruction Council in company
  • (1) The property and liabilities of the Council to which this clause applies, being property and liabilities set out in a list prepared pursuant to section 6 of the Act by the Minister of Agriculture and the Minister of Finance dated the 9th day of June 1992, shall vest in the company on the 1st day of July 1992.

    (2) This clause applies to:

    • (a) The following parcels of land:

    • (b) All buildings, plant, equipment, vehicles, furniture and fittings, goods in transit, stocks of raw materials, consumable items, and finished goods held by the Council as at the close of the 30th day of June 1992 for the purposes of the poison factory business; including the following vehicles:

    • (c) The rights and obligations of the Council under all contracts and agreements for the supply of goods and services in relation to the poison factory business made between the Council and any other person, being rights and obligations which arise or are to be performed or discharged on or after the 30th day of June 1992; but not including obligations which have accrued as at that date:

    • (d) All licences, permits, or rights granted under any Act and relating to the poison factory business:

    • (e) All documents, correspondence, files, notes, plans, drawings, reports, and other written, processed, or recorded information relating to the poison factory business and held by the Council as at the close of the 30th day of June 1992; and including contracts and agreements, leases, licences, concessions, and other legal documents:

    • (f) Cash and amounts standing to the credit of the Council in any account with a registered bank:

    • (g) The goodwill in the poison factory business.

Explanatory note

This note is not part of the order, but is intended to indicate its general effect.

This order, which is made pursuant to the Animal Control Products Limited Act 1991, vests the poison manufacturing business of the Agricultural Pests Destruction Council, operated through the Animal Control Products division of the Council, in Animal Control Products Limited on 1 July 1992.
