Pursuant to the Securities Act 1978, the Securities Commission gives the following notice.

Notice

1 Title
  • This notice is the Securities Act (Amendments to Exemption Notices Affecting Australian Issuers) Exemption Notice 2001.

2 Commencement
  • This notice comes into force on the day after the date of its notification in the Gazette.

3 Amendments to notices affecting Australian issuers
  • The notices specified in the Schedule are amended in the manner indicated in that schedule.

4 Revocations
  • The following notices are revoked:

    • (a) Securities Act (AMP Insurance Investment Holdings Pty Limited) Exemption Notice 1999 (SR 1999/388):

    • (b) Securities Act (Australian Mutual Provident Society) Exemption Notice 1997 (SR 1997/150):

    • (c) Securities Act (Barkworth Olive Groves Limited and Others) Exemption Notice 2000 (SR 2000/203):

    • (d) Securities Act (Telstra Share Offer) Exemption Notice 1997 (SR 1997/294):

Securities Act (Aristocrat Leisure Industries Pty Limited) Exemption Notice 1999 (SR 1999/247)

Omit from paragraph (a) of the definition of employee share scheme in clause 2(1) the words Corporations Law and substitute the expression Corporations Act 2001.

Omit from paragraph (b) of the definition of employee share scheme in clause 2(1) the words Corporations Law and substitute the expression Corporations Act 2001.

Securities Act (Australian Issuers) Exemption Notice 1997 (SR 1997/260)

Omit from paragraph (a) of the definition of Australian issuer in clause 2(1) the words law of a specified State and substitute the words laws of Australia.

Omit from paragraph (b) of the definition of Australian prospectus in clause 2(1) the words law of a specified State and substitute the words laws of Australia.

Revoke paragraph (c) of the definition of Australian prospectus in clause 2(1) and substitute the following paragraph:

  • (c) by means of which it is lawful under the laws of Australia to make an offer of those equity securities to the public in Australia; and.

Omit from the definition of lodged in clause 2(1) the words law of a specified State and substitute the words laws of Australia.

Omit from the definition of registered in clause 2(1) the words law of a specified State and substitute the words laws of Australia.

Revoke the definition of specified State in clause 2(1).

Revoke clause 4(c)(ii) and substitute the following subparagraph:

  • (ii) copies of any documents that, under the laws of Australia, must accompany any copy of the Australian prospectus sent to any person to whom an offer of the equity securities is made in Australia.

Omit from clause 5(b)(ii) the words Corporations Law and substitute the expression Corporations Act 2001.

Omit from clause 6(a)(i) the words law of the specified State concerned and substitute the words laws of Australia.

Omit from clause 7 the words the specified State concerned in accordance with the law of that specified State and substitute the words Australia in accordance with the laws of Australia.

Securities Act (Australian Registered Managed Investment Schemes) Exemption Notice 1999 (SR 1999/119)

Omit from paragraph (b)(i) of the definition of Australian prospectus in clause 2(1) the words law of a specified State and substitute the words laws of Australia.

Revoke paragraph (c) of the definition of Australian prospectus in clause 2(1) and substitute the following paragraph:

  • (c) by means of which it is lawful under the laws of Australia to make an offer of those Australian participatory securities to the public in Australia; and.

Omit from paragraph (d) of the definition of Australian prospectus in clause 2(1) the words Corporations Law and substitute the words Corporations Act 2001.

Revoke the definition of Corporations Law in clause 2(1) and substitute the following definition:

Corporations Act 2001 means the Corporations Act 2001 of the Commonwealth of Australia.

Explanatory note

This note is not part of the notice, but is intended to indicate its general effect.

This notice comes into force on the day after the date of its notification in the Gazette.

The notice changes references in a number of exemption notices following the enactment of the Corporations Act 2001 by the Parliament of the Commonwealth of Australia.

Under section 1399 of the Corporations Act 2001, a thing that was done before the commencement of that Act by, under, or for the purposes of certain Australian legislation and that has ongoing significance, will have effect as if it were done by, under, or for the purposes of the Corporations Act 2001.

The notices are—
