Companies Act 1993 Amendment Regulations 2001


Note

These regulations are administered in the Ministry of Economic Development.


Pursuant to sections 372 and 395 of the Companies Act 1993, Her Excellency the Governor-General, acting on the advice and with the consent of the Executive Council, makes the following regulations.

1 Title
  • (1) These regulations are the Companies Act 1993 Amendment Regulations 2001.

    (2) In these regulations, the Companies Act 1993 Regulations 19941 are called the principal regulations.

2 Commencement
  • These regulations come into force on 1 January 2002.

3 New Schedule 2 substituted
  • The principal regulations are amended by revoking Schedule 2, and substituting Schedule 2 set out in the Schedule.

4 Revocation
  • The Companies Act 1993 Amendment Regulations 1999 (SR 1999/149) are revoked.

Table of fees payable to Registrar of Companies

For an application to register a company under section 12(1) of the Act$100 (or $50 if application is lodged by electronic means)
For an application to reserve the name of a company under section 22(1) of the Act$25 (or $10 if application is lodged by electronic means)
For registration of an annual return under section 214(1) of the Act$30 (or $15 if return is lodged by electronic means)
For registration of documents to effect an amalgamation under section 223 of the Act$300
For an application to restore a company to the New Zealand register under section 328 of the Act$200
For an application to register an overseas company under section 336(1) of the Act$100
For registration of an annual return by an overseas company under section 340(1) of the Act$30
For inspection under section 363(1) of the Act of any number of documents contained in a single file that is part of the New Zealand register or the overseas register$10 (or $2 if inspection is carried out by electronic means)
For certification of a copy of or extract from any document$25

Amounts payable to Registrar of Companies by way of penalty for failure to deliver documents within prescribed time

For the delivery of a document after the time specified in the Act in respect of that document (whether or not any other fee is payable and in addition to any other fee payable)— 
(a) if delivered not later than 25 working days after the time prescribed$25
(b) if delivered more than 25 working days after the time prescribed$100

Explanatory note

This note is not part of the regulations, but is intended to indicate their general effect.

These regulations, which come into force on 1 January 2002, amend the Companies Act 1993 Regulations 1994. These regulations substitute a new Schedule 2, which prescribes certain fees for the purposes of the Companies Act 1993.

The changes to fees are as follows:

  • the fee for an application to register a company under section 12(1) of the Act lodged by electronic means is reduced from $70 to $50:

  • the fee for an application to reserve the name of a company under section 22(1) of the Act lodged by electronic means is reduced from $15 to $10:

  • the fee for registration of an annual return under section 214(1) of the Act lodged by electronic means is $15:

  • the fee for an inspection under section 363(1) of the Act if the inspection is carried out by electronic means is reduced from $4 to $2:

  • the fee for any other electronic search is reduced from $7 to $5.

The fees include goods and services tax.

The Companies Act 1993 Amendment Regulations 1999 (SR 1999/149) are consequentially revoked.
