Regulation by clause

4 Interpretation
  • (1) In this notice, unless the context otherwise requires,—

    Act means the Securities Act 1978

    Cadbury means Cadbury plc, a company incorporated in England and Wales

    Cadbury Schweppes means Cadbury Schweppes Public Limited Company, a company incorporated in England and Wales

    demerger scheme means the scheme in respect of the demerger of part of Cadbury Schweppes's business to be effected by a United Kingdom court—

    • (a) sanctioning a scheme of arrangement under section 425 of the Companies Act 1985 (UK); and

    • (b) confirming a reduction of capital under sections 135 to 137 of the Companies Act 1985 (UK)

    Dr Pepper means Dr Pepper Snapple Group, Inc., a company incorporated in Delaware, United States of America

    employee share scheme securities means securities issued by an overseas company under the terms of an employee share scheme operated by—

    • (a) that company; or

    • (b) any of that company's subsidiaries

    overseas company means any of Cadbury, Cadbury Schweppes, or Dr Pepper

    quotation security means a security—

    • (a) of a class that is quoted on a specified exchange; or

    • (b) in relation to which an application has been made for quotation on a specified exchange and, at the time of the offer of the security to the public in New Zealand, the issuer has complied with all the requirements of the specified exchange relating to the application with which it is required to comply at that time

    Regulations means the Securities Regulations 1983

    specified exchange means a stock exchange in the United Kingdom or the United States of America.

    (2) Any term or expression that is defined in the Act or the Regulations and used, but not defined, in this notice has the same meaning as in the Act or the Regulations.
