This order is made under section 22 of the New Zealand Business Number Act 2016 on the advice and with the consent of the Executive Council and on the recommendation of the Minister for Small Business made in accordance with section 22(2) of that Act.

1 Title

This order is the New Zealand Business Number (Primary Business Data) Order 2018.

2 Commencement

This order comes into force on 30 March 2019.

3 Schedules 3 and 4 of New Zealand Business Number Act 2016 replaced

Replace Schedules 3 and 4 of the New Zealand Business Number Act 2016 with the Schedules 3 and 4 set out in the Schedule of this order.

Explanatory note

This note is not part of the order, but is intended to indicate its general effect.

This order comes into force on 30 March 2019.

This order replaces the information that the New Zealand Business Number register—

  • must contain as the public primary business data for every NZBN entity. That information is set out in Schedule 3 of the New Zealand Business Number Act 2016 (the Act); and

  • may contain as other primary business data in various other circumstances (eg, if the entity elects to provide that information to the Registrar of New Zealand Business Numbers (the Registrar) or if the information is already available on a public register). That information is set out in Schedule 4 of the Act.

The main changes are that—

  • some information moves from Schedule 4 to Schedule 3, namely, industry classification and website information for all entities, and director and owner information for corporate and public entities:

  • some information is renamed (eg, “location identifier” is renamed “trading area(s)”):

  • some information is deleted (eg, about start dates, addresses, place of activity, Australian company number, and Australian service address):

  • some information is added to Schedule 4 (eg, about payment bank account number).

The purposes for which information is required is as follows:

Registered addressWhere the NZBN entity is a company registered under the Companies Act 1993, or a limited partnership under the Limited Partnerships Act 2008, to record the address of the registered office of the company, or the limited partnership, consistent with the requirements of those Acts
Trading area(s)To identify the geographic areas where the NZBN entity routinely conducts, or is available to conduct, its business activities in New Zealand
NZBNTo identify the NZBN allocated by the Registrar to the NZBN entity
Kind of entityTo identify the kind of entity in terms of how different entities are described in the Act
StatusTo identify whether NZBN registration is current and any solvency issues
Industry classificationTo identify the class(es) of business activity undertaken by the NZBN entity using the New Zealand Government business industry classification (BIC) codes
Director(s)To identify the people who govern the NZBN entity and its finances
WebsiteTo identify the website address(es) of the NZBN entity’s public-facing websites (if any)
Owner(s)To identify the people, or other entities, who own the NZBN entity
Phone numberTo identify the contact phone numbers for the NZBN entity and the primary purpose of each number (if there is more than 1)
Email addressTo identify the email addresses for the NZBN entity and the primary purpose of each email address (if there is more than 1)
Postal addressTo identify the address that the NZBN entity uses to receive physical postal deliveries
Address for serviceTo identify the NZBN entity’s physical address in New Zealand at which writs, summonses, notices, and other legal documents can be served (as appropriate) on the entity, its management and employees, and its director(s) or owner(s)
Office addressTo identify the location of the NZBN entity’s administrative headquarters
Delivery addressTo identify the primary physical address at which the NZBN entity wishes to receive physical deliveries of goods and other items that are not postal deliveries
Invoice addressTo identify the address the NZBN entity uses to receive deliveries of invoices
GST numberTo identify the entity’s GST number(s) (if any)
Payment bank account numberTo identify the primary bank account the NZBN entity uses to receive payments
