WHEREAS by an. Ordinance of the Superintendent and Provincial Council of the Province of Otago, No. 454, intituled “The Port Chalmers School Reserve Sale Ordinance, 1874,” the lands described in the Schedule hereto, then vested in the Superintendent of Otago, were authorized to be sold as in the said Ordinance appears: And whereas by an Ordinance of the said Superintendent and Provincial Council, No. 473, intituled “The Port Chalmers Seamen’s Institute Ordinance, 1875,” part of the said lands, to wit, Section No. 394, of the said Town of Port Chalmers, was authorized to be leased for the purposes of a Seamen’s Institute, as appears by the said Ordinance: And whereas there is in the Town of Port Chalmers a Mechanics’ Institute, and it is desirable that the land described in the Schedule to this Act should be vested in the said Institute, and that the said Institute should be created a body corporate:

Be it therefore enacted by the General Assembly of New Zealand in Parliament assembled, and by the authority of the same, as follows:—

1 Short Title.

The Short Title of this Act shall be “The Port Chalmers Mechanics’ Institute Incorporation and Reserves Act, 1877.”

2 Lands vested.

The lands described in the Schedule to this Act shall be and the same are hereby absolutely, without any further transfer or deed of conveyance, vested in and transferred to the Port Chalmers Mechanics’ Institute incorporated by this Act (hereinafter called “the said Institute.”)

3 Lands how managed.

The said Institute shall have full power to manage the said lands, and to lease the said lands for any term or terms of years not exceeding twenty-one years, at such rent and on such terms as to the said Institute shall seem meet.

4 Rents and profits to go to Institute.

All rents, issues, and profits arising from the said lands shall be held and enjoyed by the Institute for or on behalf of the said Institute.

5 Reading-room for seamen to be provided.

The said Institute shall, in some suitable place in Port Chalmers, provide and keep a reading-room well supplied with books and papers, to be kept open on such days and hours as the said Institute is ordinarily open, free of charge, to all seamen visiting the said port of Port Chalmers.

6 Institute incorporated.

All the members of the said Port Chalmers Mechanics’ Institute shall be and are hereby created a body corporate, under the name of the Port Chalmers Mechanics’ Institute, and in such name may do and suffer all that corporate bodies may do and suffer.

7 Rules to be rules of new corporation.

The present rules of the said Port Chalmers Mechanics’ Institute, until amended or repealed by a majority of the members of the said Institute present at a special meeting of the said Institute called for that purpose, shall be the rules of the said Institute; and the persons holding the offices of President, Vice-President, and Committee of Management of the said Institute, shall hold the said offices until the next election of officers provided for in the said rules.

8 Property of Institute to belong to corporation.

All the property real and personal belonging to the present Port Chalmers Mechanics’ Institute shall vest in and belong to the said Institute incorporated by this Act; and all debts due by the present Port Chalmers Institute, or by the Trustees thereof on account of the said Mechanics’ Institute, shall be payable by the said Institute incorporated by this Act.
