The Parliament of New Zealand enacts as follows:
1 Title
-
(1) This Act is the Co-operative Companies Amendment Act 2004.
(2) In this Act, the Co-operative Companies Act 1996 is called
“the principal Act”
.
2 Commencement
This Act comes into force on the day after the date on which it receives the Royal assent.
3 Heading above section 29 amended
The heading above section 29 of the principal Act is amended by adding the words
“and Securities Act 1978”
.
4 Modified application of Companies Act 1993
Section 29(a) of the principal Act is amended by inserting, after the expression
“section 43(1)”
, the words“and section 47(5)”
.
5 New section 29A inserted
The principal Act is amended by inserting, after section 29, the following section:
“29A Modification of application of Securities Act 1978
-
“(1) Section 54 of the Securities Act 1978 does not apply in respect of any equity security offered by a co-operative company to any person who is or is to be a transacting shareholder.
“(2) In this section, equity security and offered have the same meanings as in the Securities Act 1978.”
