Companies (Directors’ Duties) Amendment Bill

Proposed amendment

Camilla Belich, in Committee, to move the following amendment:

Clause 4, new section 131(5)

In clause 4, new section 131(5), after “profit” (page 2, line 9), insert “(for example, environmental, social, and governance matters)”.

Explanatory note

This Supplementary Order Paper amends clause 4 of the Companies (Directors’ Duties) Amendment Bill to add examples of the types of matters a director may take into account when considering the best interests of a company for the purposes of section 131 of the Companies Act 1993.
