Pursuant to the Securities Act 1978, the Securities Commission gives the following notice.

Contents

1 Title

  • (1) This notice is the Securities Act (Listed Australian Issuers Employee Share Schemes) Exemption Notice (No 2) 1997 Amendment Notice 2002.

    (2) In this notice, the Securities Act (Listed Australian Issuers Employee Share Schemes) Exemption Notice (No 2) 19971 is called “the principal notice”.

2 Commencement

  • This notice comes into force on the day after the date of its notification in the Gazette.

3 New clause 5 substituted

  • The principal notice is amended by revoking clause 5, and substituting the following clause:

    “5 Modified application of conditions of exemption

    • “(1) Nothing in clause 4(b) or (c) applies in respect of any offer of specified securities of a company named in Part 1 of Schedule 2.

      “(2) Nothing in clause 4(f) applies in respect of any offer of specified securities of a company named in Part 2 of Schedule 2.”

4 New Schedule 2 substituted

  • The principal notice is amended by revoking Schedule 2, and substituting the Schedule 2 set out in the Schedule.

Explanatory note

This note is not part of the notice, but is intended to indicate its general effect.

This notice comes into force on the day after the date of its notification in the Gazette.

This notice amends the Securities Act (Listed Australian Issuers Employee Share Schemes) Exemption notice (No 2) 1997 to—

  • •add Origin Energy Limited to the list of companies subject to the modified application of the conditions in clause 4(b) and (c); and

  • •specify that Orica Limited is subject to the modified application of the condition in clause 4(f).
