1 Title
This notice is the Securities Act (Foodstuffs South Island Limited) Exemption Amendment Notice 2008.
2 Commencement
This notice comes into force on the day after the date of its notification in the Gazette.
3 Principal notice amended
This notice amends the notice that was previously called the Securities Act (Foodstuffs (South Island) Limited) Exemption Notice 2002 (the principal notice).
4 Name of principal notice changed

(1) As from the commencement of this notice, the principal notice is called the Securities Act (Foodstuffs South Island Limited) Exemption Notice 2002.
(2) Clause 1 is consequentially amended by omitting
“(Foodstuffs (South Island) Limited)”
and substituting“(Foodstuffs South Island Limited)”
.
5 Interpretation

(1) Clause 4(1) is amended by revoking the definition of company and substituting the following definition:
“company means Foodstuffs South Island Limited”.
(2) The definition of specified equity securities in clause 4(1) is amended by revoking paragraph (b).

Statement of reasons
This notice, which comes into force on the day after the date of its notification in the Gazette, amends the Securities Act (Foodstuffs (South Island) Limited) Exemption Notice 2002 (the principal notice).
The principal notice exempts Foodstuffs (South Island) Limited (which has changed its name to Foodstuffs South Island Limited), subject to conditions, from certain prospectus requirements of the Securities Regulations 1983 in respect of an offer of certain redeemable preference shares (the 5-year redeemable preference shares). Foodstuffs South Island Limited wishes to offer a new class of redeemable preference shares (the retained patronage shares) that have the same rights and privileges as the 5-year redeemable preference shares, except that they are not required to be redeemed within a fixed period after their date of issue.
This amendment notice—
changes the name of the company exempted by the principal notice from Foodstuffs (South Island) Limited to Foodstuffs South Island Limited and consequentially changes the title to the principal notice; and
provides for the exemption to apply in respect of an offer of retained patronage shares by removing the requirement that redeemable preference shares to which the notice applies must have a redemption date not later than 5 years after the date of issue.
The Securities Commission considers that it is appropriate to make the amendments because—
the amendments reflect the new name of the company granted the exemption; and
the retained patronage shares have the same rights and privileges as the 5-year redeemable preference shares, except that the retained patronage shares are not required to be redeemed within a fixed period from their issue date; and
there is no policy reason why the exemptions in the notice should be limited only to redeemable preference shares that have a fixed redemption date. The Securities Commission therefore considers that the exemptions should equally apply to the new retained patronage shares.

2 Status of reprints

4 Changes made under section 17C of the Acts and Regulations Publication Act 1989

Section 17C of the Acts and Regulations Publication Act 1989 authorises the making of editorial changes in a reprint as set out in sections 17D and 17E of that Act so that, to the extent permitted, the format and style of the reprinted enactment is consistent with current legislative drafting practice. Changes that would alter the effect of the legislation are not permitted.
A new format of legislation was introduced on 1 January 2000. Changes to legislative drafting style have also been made since 1997, and are ongoing. To the extent permitted by section 17C of the Acts and Regulations Publication Act 1989, all legislation reprinted after 1 January 2000 is in the new format for legislation and reflects current drafting practice at the time of the reprint.
In outline, the editorial changes made in reprints under the authority of section 17C of the Acts and Regulations Publication Act 1989 are set out below, and they have been applied, where relevant, in the preparation of this reprint:
