Order

1 Title

This order is the Corporations (Investigation and Management)(Du Val Group) Order 2024.

2 Commencement

This order comes into force at 6 pm on 21 August 2024.

3 Declaration that certain corporations and associated persons are subject to statutory management

The corporations, and the associated persons of those corporations, named in the Schedule are declared to be subject to statutory management under the Corporations (Investigation and Management) Act 1989.

4 Declaration that subsidiary of corporation is excluded from statutory management

This order does not apply to Du Val HC GP Limited.

5 Appointment of statutory managers

(1)

John Howard Ross Fisk of Auckland, Stephen Robert White of Auckland, and Lara Maree Bennett of Christchurch, Chartered Accountants, are appointed as statutory managers of each of the corporations and each of the associated persons named in the Schedule.

(2)

The powers conferred by Part 3 of the Corporations (Investigation and Management) Act 1989 may be exercised by the statutory managers individually.

Explanatory note

This note is not part of the order but is intended to indicate its general effect.

This order, which comes into force at 6 pm on 21 August 2024, declares that Du Val Build to Rent Limited Partnership, Du Val Group NZ Limited, Du Val Mortgage Fund Limited Partnership, and Du Val Property Group Limited, and 20 associated persons of those corporations, are subject to statutory management under the Corporations (Investigation and Management) Act 1989 (the Act).

Section 38(2) of the Act provides that every subsidiary of a corporation that is declared to be subject to statutory management also becomes subject to statutory management, except any subsidiary declared to be a subsidiary to which the order does not apply. This order declares 1 subsidiary, Du Val HC GP Limited, to be excluded.

This order appoints statutory managers in respect of each of those corporations and associated persons, and empowers the statutory managers to exercise individually the powers conferred by Part 3 of the Act.
